Terms of Service

Template

These terms are a plain-language template written by the founders. A lawyer has not yet reviewed them. They describe how the service actually works today, but customers on a paid plan sign a separate agreement that takes precedence over this page.

The service

Codepanion provides customer support teams with an AI agent that has read access to the source code, documentation, logs, and databases their organisation connects to it. The service is provided by Codepanion, an Australian company, and is intended for business use by organisations rather than for consumers. The service itself runs on infrastructure in the United States; see Your data.

Your account and acceptable use

  • You are responsible for the accounts your organisation invites and for keeping credentials confidential.
  • Only connect code, databases, and systems your organisation is authorised to connect.
  • Don't attempt to breach tenant isolation, probe other customers' data, or use the service to build a competing dataset.
  • Don't use the service for anything unlawful.

Your data

Your content stays yours. You retain all rights to the code, data, and content you connect to the service. We process it only to provide the service to you, as described in the Privacy Policy.

Where it is processed. Although Codepanion is an Australian company, the service is hosted on Microsoft Azure in the United States (Central US), and that is where your content is stored and processed. Model requests on Azure's Global Standard tier may be processed in Azure regions outside the United States. By using the service you agree to your content being transferred to and processed in those locations. Your data is never used to train AI models.

AI output

The agent's answers are generated by AI from the material it can see. They may be incomplete or wrong. Verify before acting, especially before changing production systems or relaying an answer to your own customers. Write actions proposed by the agent always require explicit human approval inside the product.

Payment

Paid plans are billed as agreed at sign-up (seats, usage-based credits, and storage, as applicable). Fees are non-refundable except where required by law. We may suspend service for non-payment after reasonable notice.

Availability and support

We aim for 99.5% monthly availability on a best-effort basis. The service runs from a single Azure region (Central US) with no standby region, so a regional outage is an outage for us too. There is no contractual service level and no service credits during early access; the service is provided "as is". We may modify features with reasonable notice for material changes.

Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability under these terms is capped at the amounts you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

Termination

You can stop using the service and request deletion of your tenant at any time. We may terminate for material breach that isn't cured after notice. On termination we delete your tenant's content as described in the Privacy Policy.

Changes to these terms

We will post updates here and update the date above, with advance notice of material changes. Continued use after a change takes effect constitutes acceptance.
